StoreFront Now End User License Agreement

Important - Read Carefully

This StoreFront Now End User License Agreement ( hereinafter "EULA") is a legal agreement between you and LaGarde, Incorporated, (hereinafter "LaGarde" or "LaGarde, Incorporated") the owner of the StoreFront Now software product, including any associated media, printed materials and on-line or electronic documentation. By installing, copying or otherwise using the StoreFront Now product, you agree to be bound by all of the terms of this EULA, as this product is licensed and not sold. If you do not agree to the terms of this EULA, do not install or use the StoreFront Now product, and return it to the place of purchase for a refund.

Terms and Conditions

1) General. "You"or "your" means the single end user customer (individual or entity) using the StoreFront Now software product. The StoreFront Now software product is protected by copyright laws of the United States and international copyright treaties, as well as other intellectual property laws and treaties. StoreFront and StoreFront Now are trademarks of LaGarde, Incorporated. "e-commerce web site" means an individual web site which is created and/or maintained through use of the StoreFront Now software product.

2) License. StoreFront Now software product is licensed, not sold. Your use of the StoreFront Now software product is to be solely in accordance with this license. LaGarde hereby grants you a non-exclusive license to use the StoreFront Now software product in connection with one e-commerce web site. If you operate or maintain more than one e-commerce web site, a separate license must be purchased for each such e-commerce web site.

Use of the StoreFront Now software is provided on a subscription basis. Access to the StoreFront Now software and all applicable data, including all data entered into or housed in the StoreFront Now software, is contingent on continuing subscription to the StoreFront Now software or upgrade to the StoreFront software. Neither LaGarde and the independent reseller make any guarantees and have no responsibility to provide you with this data upon termination of this license or your subscription to the StoreFront Now software.

Licensee my not use the StoreFront Now software to promote or sell any products, service or information which is generally objectionable, is illegal, pornographic, or expresses hatred to any individual or group.

3) Copies. Except as authorized by this license, you may not prepare copies or derivative works of the StoreFront Now software product without permission of LaGarde, Incorporated. You may make one copy of the StoreFront Now software product for archival back up use only, provided that you reproduce and include LaGarde Incorporated's copyright notice and proprietary legend on the backup copy. Such archival back up copy must be destroyed at the time this license is terminated.

4) Object Code. The StoreFront Now software product is provided in and may be used in machine-readable object code form only.

5) No Reverse Engineering. You may not reverse engineer, decompile or disassemble the StoreFront Now software product. The StoreFront Now software product is licensed as a single product. Its component parts may not be separated for use in connection with more than one e-commerce web site.

6) Confidentiality. In order to access the StoreFront Now software product, you will be provided a password. You agree to keep the password confidential, and only use it to access the StoreFront Now software product for the e-commerce web site in connection with which this EULA has been obtained. You agree not to share the password with, or otherwise provide access to the StoreFront Now software product for, others or to use in connection with additional e-commerce web sites.

7) Transfer. You may not rent, lease or lend the StoreFront Now software product or your right to access StoreFront Now software product. You may not transfer only a portion of your rights under this EULA. You may permanently transfer all of your rights under this EULA, provided you maintain no copies or adaptation of the StoreFront Now software product (including any prior versions, end-user materials, upgrades, user manuals, or other access to the StoreFront Now software product) and the transferee agrees to the terms of this EULA.

8) Royalty. Authorized use of the StoreFront Now software product requires timely royalty payments as may be required by the StoreFront Now Partner which provides you access to the StoreFront Now software product. If you have paid all current royalties and abided by the terms of this EULA yet cannot obtain access to the StoreFront Now software product through the StoreFront Now Partner, you may contact LaGarde, Incorporated directly.

9) Technical. LaGarde reserves the right to modify, change or discontinue the StoreFront Now software product at any time with immediate effect. LaGarde will use reasonable commercial efforts to provide reasonable notice to you of any of the above changes to the StoreFront Now software product. All revisions, updates and enhancements will be made available to you through the StoreFront Now Partner under the license granted herein. LaGarde makes no assurances as to the compatibility of the StoreFront Now software product with any third party application.

10) Termination. Without prejudice to any other rights, LaGarde may terminate this EULA for your failure to comply with the terms and conditions of the EULA. Upon such termination, you are no longer allowed to access or possess the StoreFront Now software product. Any copies of the StoreFront Now software product which you possess at the time of the termination must be destroyed or returned to LaGarde.
